1. Acceptance of Terms
By accessing or using the ScholarStack Cloud platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a school, district, or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.
2. Description of Service
ScholarStack Cloud provides managed hosting workspaces designed for educational environments. The Service includes per-student workspaces, teacher administration controls, project publishing, and dedicated or shared hosting infrastructure.
3. Accounts and Access
- School administrators are responsible for managing user accounts for their institution.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use the Service to:
- Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
- Attempt to gain unauthorized access to other users' workspaces or any part of our infrastructure.
- Use the platform for any purpose other than legitimate educational activities.
- Introduce malware, viruses, or any code designed to disrupt or damage the Service.
- Resell, sublicense, or redistribute access to the Service without our written consent.
5. Content and Intellectual Property
You retain ownership of all content you or your users create, upload, or store on the Service. By using the Service, you grant us a limited license to host, store, and display that content solely for the purpose of operating the platform.
ScholarStack Cloud and its logo, design, and related branding are the property of ScholarStack Cloud. You may not use our branding without prior written permission.
6. Payment and Billing
- Pricing is based on the plan selected. All fees are quoted in U.S. dollars unless otherwise stated.
- Annual plans are billed upfront for the full year. Monthly plans are billed at the start of each billing cycle.
- We reserve the right to change pricing with 30 days' written notice.
- Failure to pay may result in suspension or termination of the Service.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice when possible. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.
8. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you acknowledge and agree to our data practices as described in that policy.
9. Limitation of Liability
To the maximum extent permitted by law, ScholarStack Cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Termination
Either party may terminate the Service by providing written notice. Upon termination, we will make your data available for export for a reasonable period (no less than 30 days). After that period, we may delete all associated data. Provisions that by their nature should survive termination (including limitations of liability and intellectual property) will remain in effect.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and notify affected customers by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which ScholarStack Cloud operates, without regard to conflict of law principles.
